§ 1 Preliminary Provisions

These Terms of Service govern the use of our online platform and the procedures for initiating purchases of equipment and tools for coffee roasteries. The Store is available to both consumers and business customers worldwide.

By accessing or using the Store, the Customer acknowledges having read, understood, and agreed to be bound by these Terms of Service. If the Customer does not agree with any part of these Terms, they must refrain from using the website.


§ 2 Definitions

  • Customer – any entity (natural or legal person) submitting an inquiry or order through the Store.

  • Consumer – a natural person making a purchase not directly related to business or professional activity.

  • Business Customer – a person or entity making purchases in connection with their business.

  • Store – the online interface available at www.cmsale.com where products are displayed and added to a virtual cart.

  • Product – any new or used machine, tool, or component for coffee roasteries offered through the Store.

  • Preliminary Order – a non-binding action of adding products to the cart and submitting the selection for a custom offer.

  • Proforma Invoice – a document issued by the Seller specifying the final price including calculated shipping, sent to the Customer for approval.

  • Sales Agreement – a binding agreement concluded when the Customer accepts the Proforma Invoice and completes payment via secure payment link or wire transfer.

  • Account – a user profile registered in the Store, allowing Customers to view order history, save shipping details, and manage communications.

Customers may contact the Seller via email or the website contact form. The Seller endeavors to respond within two business days.


§ 4 Order Process

  1. Customers may browse available Products and add items of interest to the cart.

  2. Adding items to the cart and submitting the selection does not constitute a binding order or initiate payment.

  3. Upon receiving the Preliminary Order, the Seller will verify product availability, assess delivery requirements, and calculate shipping and handling costs.

  4. A customized Proforma Invoice will be issued, including full pricing and shipping details.

  5. The Sales Agreement is concluded only after the Customer explicitly accepts the Proforma Invoice and completes payment via a secure payment link (e.g., via Przelewy24) or wire transfer.

  6. Products are not reserved and production or dispatch does not commence until payment is received in full.

  7. For clarification or modifications, Customers are encouraged to contact the Seller prior to making payment.


§ 5 Prices and Payment Methods

  1. All prices displayed on the Store are indicative and do not include shipping, taxes, or customs duties, unless explicitly stated otherwise.

  2. Final pricing, including applicable VAT and delivery costs, is confirmed in the Proforma Invoice.

  3. For orders placed by private individuals within the European Union, VAT is charged according to the applicable rate in the Customer's country of residence.

  4. In cases where the Customer provides a valid EU VAT number, intra-community supply is conducted with 0% VAT, in accordance with applicable EU tax regulations.

  5. For customers outside the EU, transactions are conducted without VAT (0%), subject to the rules of export and tax law.

  6. Accepted payment methods include:

    • Secure payment link (e.g., via Przelewy24),

    • Wire transfer to the Seller’s designated bank account.

  7. Full prepayment is required. The Seller does not accept partial or installment payments.

  8. The Seller reserves the right to update pricing and payment conditions at any time for future transactions.


§ 6 Shipping and Delivery

  1. The Seller offers international delivery for most Products. Specific delivery exclusions may apply depending on logistics restrictions or regional import laws.

  2. Delivery costs are calculated individually based on order weight, size, number of packages, delivery method, and destination country.

  3. Estimated delivery times are specified in the Proforma Invoice and depend on stock levels, customizations, and logistics schedules.

  4. The Seller is not liable for delays resulting from customs clearance procedures or circumstances beyond its reasonable control.

  5. The risk of loss or damage transfers to the Customer once the shipment is handed over to the logistics provider.

  6. Orders involving palletized or crated transport require the Customer to ensure proper unloading conditions. The Customer is fully responsible for unloading at the point of delivery.

  7. Any transport damage must be reported to the Seller within 48 hours of delivery. Failure to report within this period may invalidate claims.


§ 7 Right of Withdrawal (Consumers Only)

  1. Consumers purchasing standard, non-customized Products may withdraw from the agreement within 14 days of delivery without stating a reason.

  2. To exercise this right, the Consumer must notify the Seller via email or postal mail with the relevant order information.

  3. Returned Products must be unused, complete, and in original packaging.

  4. Return shipping costs are borne by the Consumer.

  5. The Seller will issue a refund within 14 days of receiving the returned Product.

  6. The right of withdrawal does not apply to:

    • Custom-built or clearly personalized Products,

    • Equipment requiring installation or on-site configuration,

    • Transactions concluded by Business Customers.


§ 8 Warranty and Complaints

  1. New Products are covered by the manufacturer's warranty, where applicable. Specific warranty conditions are detailed in accompanying documentation.

  2. Used Products are sold "as-is" and may not be subject to warranty unless explicitly stated otherwise. Statutory liability for defects remains unaffected for consumers.

  3. Business Customers must inspect Products immediately upon delivery and report any visible defects or inconsistencies within 3 business days.

  4. Complaints must be submitted via email to info@cmsale.com, including order number, description of the issue, and supporting images or documents where relevant.

  5. The Seller shall respond to all complaints within 14 business days. If the claim is validated, the Seller will offer a suitable remedy such as repair, replacement, or refund.


§ 9 Limitation of Liability

  1. The Seller shall not be liable for:

    • Delays due to customs clearance, third-party logistics providers, or force majeure,

    • Damages caused by incorrect installation, use, or modification of the Product by the Customer,

    • Indirect or consequential losses, including production downtime or loss of revenue.

  2. Liability is limited to the value of the purchased Product, except where otherwise mandated by law.

  3. This limitation applies to all legal grounds, including contractual and non-contractual liability.

  4. The Seller disclaims liability for temporary inaccessibility of the Store due to maintenance, updates, or technical issues.


§ 10 Personal Data

  1. The Seller processes personal data in accordance with the General Data Protection Regulation (GDPR).

  2. Data provided by the Customer is used exclusively for purposes related to order processing, invoicing, communication, and legal compliance.

  3. Customers may request access to, correction of, or deletion of their personal data at any time.

§ 11 Final Provisions

  1. Contracts are concluded in English.

  2. These Terms are governed by Polish law. In the case of Consumers, mandatory protections under the law of their country of residence shall prevail where applicable.

  3. The Seller may revise these Terms of Service at any time. Any modifications will be published on the website and will apply prospectively.

  4. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect.

  5. Consumers have the right to resolve disputes through the EU's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.
